Statement of work (SOW)

Formal document defining the scope, deliverables, timeline, and acceptance criteria for a specific freelance engagement. Usually attached to a master service agreement.

The SOW is the operational contract for a project. While the master service agreement (MSA) covers legal terms (IP, liability, payment terms), the SOW gets specific: what exactly is being delivered, when, by whom, for how much, and how "done" is defined.

A good SOW prevents scope creep — the gradual expansion of work without corresponding fee adjustments. Without a clear SOW, freelancers often end up doing 30-50% more work than initially agreed.

Key sections: project description, in-scope deliverables (explicit list), out-of-scope items (just as important), milestones and dates, pricing and payment schedule, acceptance criteria (how the client signs off), and change request process for additions.
